TERMS OF CONTRACT AGREEMENT

These Terms and Conditions govern the relationship between this company, which trades as Quality Yearbook Publishing (hereafter referred to as QYP), and the customer and/or end-consumer (hereafter referred to as customer) for the production of the publication outlined on the right. QYP agrees to produce this publication pursuant to the terms and conditions listed below as well as other company policies which are, or may be in effect at the time of publishing.

This agreement is subject to acceptance by QYP. The price is subject to change based on review by QYP, fluctuations of material cost and subsequent adjustments to the program specifications by the end customer or representative.

This INITIAL ORDER must be completed and returned to QYP by the customer with the customer's original submission of layouts. Customer agrees to submit all materials in accordance of the published production schedule of QYP. Failure to do so may delay publication and/or delivery of yearbooks and incur additional charges for special or expedited handling or shipping.

QYP will provide detailed instructions and all materials necessary for successful yearbook production. Layouts must be prepared according to the specifications for the appropriate yearbook plan as outlined in the instructions and in the Submission Standards below.

Prices apply to only those yearbooks which meet these specifications. Customer will be notified if the submitted yearbook fails to meet these standards at which time they may choose to fix the problem or authorize QYP to make the necessary corrections, chargeable on an hourly rate basis. QYP will obtain customer authorization before making any chargeable corrections. 

Errors found in Customer's native application files may incur correction fees billable on an hourly rate basis. We will contact customer for approval before making any chargeable corrections.  If any such corrections are needed, this may delay the shipping date. Low resolution images will be printed 'as is'. Errors found in PDF files must be corrected by the Customer.

Payment Terms
Customer agrees to the following:
a. A minimum of 50% of the total estimated cost is due with the submission of files.
b. Payment of the balance is due prior to shipment. The final balance will include additional charges (if any) incurred in the production of the book as well as actual shipping charges (less deposits paid). If customer has not established credit terms, yearbooks will ship C.O.D.
If terms are pre-established YBS will confirm these terms in writing in advance of production.  Late payments are subject to interest and collection fees
c. SHIPPING CHARGES: YBS will use the most cost effective means to ship yearbooks to Customer.  If yearbooks are going directly to a School, freight will include local delivery and lift-gate upcharges.
d. All pricing and payment is shown in U.S. dollars and is subject to applicable state sales tax. The Customer is solely responsible for the collection and payment of sales or use taxes, if any.
e. QYP reserves the right to suspend production on yearbooks for which payment has not been received as requested. A fee will be charged on all checks which are returned for any reason. A finance charge (equal to your state's maximum allowable rate) will be added to all balances past due.
f. Credit Card Fees - QYP will charge a Credit Card Processing Fee on all Credit Card Payments - A fee of 1.5% of the total Invoice will be added for Visa/MasterCard Payments a fee of 1.5% will be added for American Express Payments.

Proofs
to the Customer must timely proofread everything submitted for publication; original layouts and proofs provided. QYP is not responsible for correcting errors not indicated on the proof submitted. The yearbook proof provided (with requested corrections noted) must be returned to QYP within three (3) business days. The Customer will return the approved proof via an expedited shipping method (i.e. Overnight, etc.) that provides proof of delivery.  The Customer will retain the shipper's tracking number for future reference. Only corrections regarding content accuracy can be made on the proof provided. Changes in layout cannot be made, nor can additional photos, copy or pages be added without additional charge.
Production and Delivery
QYP is committed to providing on-time deliveries and will make reasonable and prudent efforts to produce and ship yearbooks on-time to make the requested delivery dates for the school. However, delivery of finished yearbooks by a specific date is not guaranteed due to factors which may be beyond QYP' direct control.
Quantities Ordered
Only the exact number of yearbooks ordered will be printed and shipped: no overage in the printed quantity of books should be anticipated. If to the Customer wishes to make arrangements for an overage to be provided, please contact QYP' Customer Service Department well in advance of the printing of yearbooks.

Default of Payment
In the event that the Customer defaults on payment for yearbooks, QYP has the right to seek payment directly from the school or organization and QYP is fully authorized to communicate directly with school or organization and demand payment therefrom.  
Customer agrees: (1) to pay 18% interest per annum on any overdue balance and, if collection efforts are required, to pay all reasonable attorney's fees and court costs incurred with or without suit and including appeals; (2) in the event the account is referred to collection, to pay a minimum amount of 25% of the principal amount; (3) exclusive venue for any legal action shall be in New Jersey State Superior Court, Monmouth County Vicinage; and (4) Any dispute arising from this agreement will be governed by the laws of the State of New Jersey.
